Private equity group Thoma Bravo has teamed up with the Ontario Teachers’ Pension Plan to acquire Web security and network optimization company Blue Coat Systems in a $1.3 billion deal.

Blue Coat shareholders will receive $25.81 in cash per Blue Coat share, a 48 percent premium over the company’s Dec. 8 closing price. The deal, which is expected to close in the first quarter of 2012, results in Blue Coat becoming a private company.
