  Petitioner, Melissa Johnson (“Johnson”), commenced this special proceeding with respect to her membership interest in Respondent, Johnson & Asberry Communications, LLC (the “Company”) and to fix the fair value of her membership interest in the Company pursuant to Section 1005(b) of the New York Limited Liability Company Law. The Company now moves, pursuant to CPLR 3211(a)(1) and CPLR 3211(a)(7), to dismiss the petition based upon documentary evidence and for failure to state a cause of action. FACTUAL AND PROCEDURAL BACKGROUND Johnson and Tiffany Asberry (“Asberry”) were the sole owners and joint co-managers of the Company, which was created in March 2011 to provide public relations and communication services to its clients, many of which are governmental agencies (Petition,
