Plaintiff, The Travelers Indemnity Company, filed a complaint seeking a declaration of nonliability under insurance policies it issued to defendant Dammann & Co. Inc. Dammann filed a counterclaim seeking a declaration that Travelers is obligated to provide coverage related to the claims of International Flavors & Fragrances Inc. (IFF) concerning shipments of vanilla beans that were contaminated with mercury, and brought additional counterclaims. Dammann commenced a third-party claim for indemnity against Cooperative Business International Inc. (CBI) and CBI’s liability insurance company, Nationwide Mutual Insurance Company. Dammann and Travelers executed a settlement agreement, which settled all claims and counterclaims between them.
