The underlying litigation in this attorneys’ fee case centered on a complex contract between plaintiffs Litton Industries Inc. and Litton Systems Inc. and defendants IMO Industries Inc., Varo Inc., Baird Corporation and Optic Electronic International Inc. Pursuant to the purchase and sale agreement, plaintiffs agreed to purchase for $52 million certain assets of the optical systems business of defendants.
