Drugmaker Merck & Co., in Whitehouse Station, N.J., on Dec. 8 announced it has paid about $9.5 billion in cash and stock to acquire biopharmaceutical company Cubist Pharmaceuticals Inc., of Lexington, Mass. Lawyers from Hughes Hubbard & Reed, as well as a team from Baker & McKenzie, both in New York City, represented Merck in the transaction, while Ropes & Gray in Boston advised Cubist.
Gaspari Auctioned for $10M
San Deigo-based investment firm Heritage Equity Partners announced Dec. 8 it has arranged for Gaspari Nutrition, a sports nutrition supplement manufacturer in Lakewood, N.J., to be acquired by Allegro Nutrition, the sports nutrition division of Dublin, Ireland-based marketing firm Allegro Group, for $10.1 million, in a Chapter 11 liquidation deal approved in U.S. Bankruptcy Court in Trenton, N.J. In the transaction, Joshua Klein and Michael Viscount of Fox Rothschild’s Princeton, N.J., and Atlantic City, N.J., offices, respectively, represented Gaspari, while Dan Carragher of Boston’s Day Pitney represented Allegro. Tom Coughlin of Jaffe Raitt Heuer & Weiss in Southmark, Mich., served as legal counsel to Crestmark Bank, Gaspari’s senior lender, and Warren Usatine of Cole, Schotz, Meisel, Forman & Leonard in New York City, was counsel for the Creditor’s Committee.
