In my last article, published on Sept. 7, I discussed a hypothetical, startup biotech company called BioTech, which was founded by Joe Smith in Prince-ton. Here, I will focus on Joe and Jane’s quest for capital as they begin the research and development phase of manufacturing their prosthetic limb, which they hope will be more lifelike and cost-effective than any other previous prosthetic. This article will outline the law involving private placements of securities under Regulation D.
