Kanter v. Barella, et al.

In this shareholder derivative action, because plaintiff has failed to plead particular facts creating a reasonable doubt that the board of directors could have impartially considered the merits of her demand on them without being influenced by improper considerations, her failure to have made the demand prior to instituting suit cannot be excused, and the complaint is dismissed for failing to satisfy Rule 23.1.
