The four elements of collateral estoppel have been satisfied and the Delaware court's finding that plaintiff acted with blatant or reckless disregard of defendant's property rights amounting to usurpation in a related case renders plaintiff's hands unclean in equity in this consolidated case involving specific performance and royalties; plaintiff's claim that it had purged its unclean hands by paying the Delaware judgment is rejected; defendant's motion to dismiss the amended complaint is granted.
