Outside counsel who take on corporate duties with potential impact upon third parties may be considered corporate agents for purposes of indemnification, an appeals court ruled Feb. 22.

The ruling allows Stephen Zelnick, of New York’s Morse, Zelnick, Rose & Lander, to have his corporate client pick up his legal fees in defense of claims against him by discharged corporate officers.
