A top executive bolts, leaving to start a competing company. Employees are jumping ship to join her venture, while current clients are flocking to give her their business. The CEO is apoplectic. The Litigation Lottery

Employment litigation can be a high-stakes lottery. And usually it's one in which the odds are stacked against employers. But the good news for employers is that the number of measures available to help prevent litigation has recently increased, thanks to several court decisions. Employers can now use such preventative measures in employment contracts, thus increasing their odds in the litigation lottery. Commentary: Vice, Virtue and "The Merchant of Venice"

William Shakespeare's play "The Merchant of Venice" teaches us some good lessons, says Michael P. Maslanka. Attorney-Client Privilege Doesn't Shield Company in Suit

For years, it has been nearly impossible for in-house counsel at Texas companies to bring whistleblower suits against their employers, because companies could use the attorney-client privilege to prevent disclosure of important evidence in such litigation. But a recent 5th U.S. Circuit Court of Appeals decision, in a case more than 20 years old, changes all that. Some believe the ruling is empowering for corporate counsel, while others believe it will have a chilling effect on communication.

It's All in Your Head: Cognitive Theory Can Help GCs Lead Organizations to Better Decisions

A general counsel's influence doesn't come from knowing the answers to legal questions, asserts attorney Michael Maslanka. He says real influence -- the kind that guides decisions, leads to sound judgments and creates better results -- comes from knowing why people think and act as they do.
