Kmart-Sears to Face FTC's Glare
Two prominent U.S. senators demanded Wednesday that the FTC scrutinize Kmart Holding Corp.'s $11 billion acquisition of Sears, Roebuck and Co., which would create the country's third-largest retailer. Antitrust experts predicted the FTC would thoroughly investigate the deal, but they said the transaction should eventually pass muster. However, several lawyers cautioned that business has been caught by surprise before on retail mergers.Feds Slap Gates With $800,000 Fine
Bill Gates agreed Monday to pay $800,000 to settle charges that he violated the Hart-Scott-Rodino Act in 2002 by acquiring more than $50 million of ICOS Corp. stock without first notifying regulators of the deal. Also Monday, the government settled a case against Manulife Financial Corp. related to its acquisition of John Hancock stock. Antitrust experts said the two cases are a warning to corporations to take HSR reporting requirements seriously.Do Large Firms' Partner Class Numbers Hint at Strategy for Nonequity Partners?
A snapshot of the 2007 partner classes at some of the largest law firms across the country shows wide fluctuations in the number of lawyers promoted to partner, compared with last year. But despite rollercoaster results, this year's new partner classes -- at least among 20 top shops -- represented about the same percentage of the firms' total partner population as last year. Some see a growing trend toward the expansion of nonequity partnership classes, but firms are tight-lipped about the strategy.Enron Report Casts Harsh Light on Lawyers

This year's summer associates are happy, but then summer associates are always happy. So what is it that distinguishes this generation of about-to-be lawyers? The American Lawyercompared the results of the 2000 Summer Associate Survey with those from 1999 and 1998: The ratio of females to males is almost equal; IP is hotter than ever; and the associates' main motivation? No, not the money. They just like it.Sears Wins Dismissal of Class Action Over Kmart Merger
The plaintiffs in a long-running class action against Sears, Roebuck & Co. over its merger with Kmart had reason to be optimistic: Their case survived a motion to dismiss, and they won class certification. But they suffered a potentially fatal setback last week when Chicago federal district court Judge Robert Gettleman granted Sears' motion for summary judgment. Gettleman also granted summary judgment to Sears Holdings Chairman Edward Lampert and an investment fund that became a controlling shareholder of Sears.Trending Stories
