Johnsen, a partner at Winston & Strawn, writes that the U.S. District Court for the Southern District of New York recently declared that holders of cash-settled equity swaps may be considered "beneficial owners" of the shares underlying those swaps - a departure from the current understanding regarding such instruments, which give the holder no title to shares, no right to acquire or dispose of shares, no power to direct acquisition or disposition of shares, and no power to vote or direct the voting of shares.
