Faked Documents May Be at Core of Apple Case
According to people with knowledge of Apple's situation, federal prosecutors are examining administrative documents that were apparently falsified by company officials to maximize the profits of option grants to executives. The faked documents could be a key issue for government officials deciding whether to pursue the Apple case as a criminal matter. There is also speculation that prosecutors are focusing on ex-GC Nancy Heinen and ex-CFO Fred Anderson. Meanwhile, CEO Steve Jobs has hired his own counsel.Sidley Could Face $100M Liability in Opt-Outs
Sidley Austin is expected to pay $30 million to settle a class action filed by more than 200 investors who lost money on illegal tax shelters that the law firm approved. But the nation's seventh-largest firm isn't out of the woods yet. Investors in about 55 cases have opted out of the settlement, which includes claims against KPMG, the accounting firm that sold the shelters. A lawyer who represents three such investors said liability costs associated with the opt-out cases could exceed $500 million.Former CEO Fights SEC's Bid to Claw Back $4 Million Under SOX
The Securities and Exchange Commission's attempt to claw back more than $4 million in compensation from the former CEO of an auto parts retailer raises "constitutional questions of the gravest magnitude," the defense argues in a motion to dismiss. The defense argues that the SEC's interpretation of Section 304 of the Sarbanes-Oxley Act is unprecedented and conflicts with previous cases the commission has brought against corporate executives under the statute.Being GC at Dole: Not a Doleful Position

Of his work, Carter says, "I tend to take ownership of things and drive them to closure instead of passing the buck or blaming other people." And he has applied this same philosophy in honing his in-house team of attorneys while reducing expenses for outside counsel.Mercury Interactive to Cooperate With Lerach in Backdating Dispute
As Mercury Interactive contemplates suing former officers linked with options backdating, the company has sent clear signals it won't step on plaintiffs lawyer William Lerach's toes. Teaming up with Lerach in a civil derivative claim would be an unusual move in what is typically an adversarial process, but a source said it looked like an economic decision for Mercury to allow Lerach to pursue the derivative suit at his own cost while the company itself pursued the wealthiest of the four former officers.Former Clients File Malpractice Suit Against Milbank
Two former clients have sued Milbank, Tweed, Hadley and McCloy, charging the firm with malpractice, breach of fiduciary duty and breach of contract over the firm's work on the financing of a failed Nebraska ethanol project. In a complaint filed Tuesday in state court in San Francisco, Medley Capital and Fourth Third allege that Milbank lawyers failed to secure a first, secured interest in the ethanol project for the former clients. The firm's work on the matter occurred from March 2007 to March 2009.Trending Stories
