Geri S. Krauss, founder of Krauss PLLC, reviews a Rochester Supreme Court decision that dramatically expands the breadth of New York's public policy prohibiting restrictive covenants between lawyers, holding that nonsolicitation provisions contained in a mutual nondisclosure agreement between firms engaged in merger discussions are per se unenforceable, that it is not a breach of fiduciary duty for a partner to engage in preresignation solicitation of nonequity partners to leave the firm as a group and go to a competitor, and that no claim of tortious interference with contract or prospective economic advantage could be brought against the acquiring firm, even where it had signed a nonsolicitation clause.Brave New World for Balkan Deal Making
