Delaware High Court Decides 'Deepening Insolvency' Is Dead in Delaware

Deepening insolvency is often asserted as an independent state-law cause of action against a debtor's advisers for any attempts to prolong the life of a failing company that injure the company and its creditors. As Delaware continues to have one of the country's most active business bankruptcy caseloads, lawyers look to that state's law as a benchmark. To the dismay of many, Delaware's high court recently affirmed a Court of Chancery holding that Delaware law doesn't recognize "deepening insolvency" claims.
