Judge Decides Who Can Sue for Collapsed Merger Damages
A federal judge in New York has made a key decision on which classes of shareholders can sue for damages caused by a collapsed merger. Deciding a case of first impression that he said has "far-reaching" effects on litigation involving large-scale transactions, the judge found that the third-party beneficiaries of a scheduled merger between Consolidated Edison and Northeast Utilities are shareholders who owned the stock on the day the merger broke down.Is this any way to recruit associates?
Ask law firm recruits, particularly those from elite schools, about the summer associate recruiting experience, and the stories are fairly similar: Short interviews, shallow questions and a sheaf of boilerplate marketing materials. For law firms, the process is expensive and time-intensive -- and still results in low acceptance and high attrition rates. AHL formed a special committee from its board of directors and hired attorney David A. Stockton to advise. Executives are starting to think that forming a special independent committee can help prevent securities-fraud litigation when they complete a deal or are involved in an internal investigation, Stockton said.2009 Worst Year for Lawyer Headcount in 3 Decades, Says 'NLJ 250' Survey
The United States' largest law firms this year suffered the deepest cuts in their attorney numbers since The National Law Journal began tracking the figures more than 30 years ago. The total number of attorneys working at the top 250 law firms plunged by 5,259 lawyers.
