FTC Staff Questions RJR-BAT Deal

Plans by R.J. Reynolds Tobacco Holdings Inc. and British American Tobacco plc to combine their U.S. operations are running into antitrust trouble. Sources said FTC staff lawyers have reservations about the $2.5 billion deal, which would result in Reynolds and rival Philip Morris USA Inc. controlling 80 percent of the market. Further clouding the deal's fate are two recent reports highlighting antitrust concerns around the transaction.

DOJ Wins Whirlpool-Maytag Review

One of the most scrutinized battles among antitrust lawyers ended Monday when the Justice Department won responsibility for reviewing Whirlpool's $2.7 billion acquisition of Maytag. The deal is a coveted prize for regulators because of the many thorny issues to address, including high market share for appliances and new competition from overseas. Like the DOJ, the Federal Trade Commission was eager to land the merger partly because the winner gets clear title to future consumer appliance merger reviews.
