Proposed Merger by Joint Reorganization Gains New Life

Creditors dropped a lawsuit seeking to stop Genesis Health Ventures' proposed takeover of Multicare Cos. Inc., giving new life to what could be the first merger between two bankrupt companies. At Long Last, More Delaware Judges

The U.S. Bankruptcy Court for the District of Delaware in Wilmington has gotten closer to getting what it's wanted for years -- more judges -- with the tentative selection of four individuals for the new posts by the Office of the Circuit Executive for the 3rd U.S. Circuit Court of Appeals. The posts were created as part of the bankruptcy reform package passed by Congress earlier this year. Nationally, 28 new bankruptcy judgeships need to be filled, including the ones in Delaware.

The Legal Tender Trap

Perhaps something really is out of whack when a first-year associate is paid more than the Delaware chief justice. Mega-firm Skadden Arps Slate Meagher & Flom is giving law school graduates $140,000 a year to start in its Wilmington office. Delaware is paying Chief Justice E. Norman Veasey $133,000 for the year. It's enough to make a partner wince.

Hochfelder is helping the company move forward after emerging from its 2004 bankruptcy. He says his legal department's greatest challenges include converting its mind-set from "playing defense" as a Chapter 11 debtor to operating more as an "offensive player" and a "profitable player in the retail industry." And yes, Hochfelder does have toys in his office.

An Appealing Idea

In what the Delaware Supreme Court hopes to make an annual event, the justices for the first time will leave their customary courtrooms to hear oral arguments at the Widener University School of Law. The five members of the court are scheduled to sit en banc next Tuesday, April 4, on the Delaware campus, to consider three appeals. This modern edition of judicial circuit riding is not without purpose. It will "help to build trust and confidence in the court system," Chief Justice E. Norman Veasey said.

3rd Circuit Finds SGL Abused Chapter 11 Filing

In a warning to corporations plagued by litigation woes, the 3rd U.S. Circuit Court of Appeals ruled SGL Carbon AG misused U.S. bankruptcy laws when a financially healthy unit filed for Chapter 11 protection to prod customers into settling antitrust lawsuits. The court concluded that SGL Carbon Corp., SGL Carbon's U.S. arm, filed for bankruptcy to gain leverage in antitrust suits alleging the company engaged in price fixing, rather than filing to reorganize to address business problems.
