Warner-Lambert's Counterpunch: Pfizer Broke Lipitor Pact by Making Merger Offer

Drugmaker Warner-Lambert, struggling to fend off a $77 billion takeover bid from Pfizer, sued to dismantle the companies' marketing partnership over Warner-Lambert's Lipitor, the top-selling U.S. anti-cholesterol drug. In a counterclaim filed in Delaware, Warner-Lambert contends Pfizer's bid violated a "standstill agreement" in the Lipitor marketing pact. Warner-Lambert's counterclaim, if approved, would allow it to gain full control of Lipitor, which has accounted for almost $4 billion in sales this year.
