Sanchez Energy Corp. of Houston turned to Akin Gump Strauss Hauer & Feld for the pending sale of the western part of its Catarina asset in the Eagle Ford Shale to Sanchez Production Partners for about $345 million. Andrews Kurth and Latham & Watkins represent Sanchez Production Partners in the acquisition and a related private placement.

On Sept. 28, Sanchez Energy, an exploration and production company, announced that it had executed an agreement for Sanchez Production Partners to acquire and operate certain pipeline, gathering and compressions assets in the Eagle Ford Shale in South Texas, which the companies refer to as the Western Catarina Midstream Transaction. The transaction is subject to customary closing conditions and is expected to close in October.

Potter Anderson & Corroon represented the conflicts committee of the board of directors of the general partner in Sanchez Production Partners; the committee reviewed and approved the Western Catarina Midstream Transaction. Richards, Layton & Finger counseled the Sanchez Energy board of directors audit committee, which reviewed and approved the transaction.
