The Court of Appeals for the First District of Texas recently dealt with a tangled business partnership between BP Pipelines (Alaska) Inc., ConocoPhillips Transportation Alaska Inc., Exxon Mobil Pipeline Co. and former partner Unocal Pipeline Co. The appellate court held that the remaining members of the partnership involving Trans-Alaska Pipeline business operations were tied to a series of governing agreements that obligated them to take on the duties of Unocal after that company’s withdrawal from the partnership in 2012. In its recent ruling, the Texas appeals court reversed the decision issued earlier by trial judge Elizabeth Ray, the presiding judge of the 165th District Court of Harris County.
The complex lawsuit illustrates how business partnerships, just like many other relationships, can be challenging and lead to strong disagreements concerning how duties and other responsibilities should be handled, especially when the partnerships undergo major changes.
