Andrews Kurth represents medical device company LDR Holding Corp. of Austin and Troyes, France, in its pending acquisition by Zimmer Biomet for about $1 billion. White & Case represents Zimmer Biomet, of Warsaw, Indiana.

On June 7, LDR and Zimmer Biomet announced a definitive agreement calling for Zimmer Biomet to commence a tender offer to acquire the outstanding shares of LDR for $37 a share in cash, for a total of about $1 billion, followed by a merger. The boards of both companies have approved the definitive agreement, but the acquisition is subject to customary closing conditions. It is expected to close during the third quarter.
