Latham & Watkins is advising Houston-based Rock Oil Holdings LLC and its private equity owner Riverstone Holdings LLC in the pending sale of the portfolio company to SM Energy Co. David Copeland, executive vice president, general counsel and corporate secretary of Denver-based SM Energy, led his company’s legal team.
On Aug. 8, Riverstone Holdings announced the signing of a definitive agreement in which Riverstone Global Energy, Power Fund V and minority partners agreed to sell Rock Oil, an oil and gas company with assets in the Midland area of the Permian Basin, to SM Energy For $980 million in cash. In the deal, oil and gas company SM Energy will acquire 24,783 net acres in Howard County in West Texas.
