The PBI program covered several topics including an overview of the M&A landscape in 2021, tax issues in M&A, the lender's perspective in those deals, representations and warranty insurance issues, earnout provisions, Delaware court developments and regulatory issues in the M&A area and trends for 2022.
Scolari serves as co-chair of the firm's closely held and family-owned businesses practice and provides practical and strategic legal and business advice to executives and owners of both private and public businesses in connection with a variety of transactional matters, as well as business succession planning engagements, in a wide scope of industries.

The suit, accusing the defendant of selling knock-off Graco products, was filed Dec. 18 in New Jersey District Court by Rivkin Radler on behalf of Graco Inc. and Graco Minnesota. The case, assigned to U.S. District Judge Zahid N. Quraishi, is 3:24-cv-11294, Graco Inc. et al v. Devco Corporation.

The suit, filed Dec. 11 in New York Southern District Court by Bleichmar Fonti & Auld, accuses the defendants of concealing the bank's 'pervasive' deficiencies in regards to its compliance with the Bank Secrecy Act and the quality of its anti-money laundering controls.
