Stevens & Lee announced that Derick S. Kauffman and Mark E. Rosenstein have joined the corporate, finance and capital markets department and will be based in the firm's Valley Forge office.
They each bring more than 20 years of experience in public company transactions, including experience in initial public offerings (IPOs) and a niche with Special Purpose Acquisition Companies (SPACs), as well as SEC reporting matters and compliance, corporate governance matters and stock exchange listing requirements and compliance.
Kauffman assists clients in corporate finance, mergers and acquisitions and general corporate matters, including public company reporting and governance issues. He has experience in the representation of SPACs, guiding SPACs from formation through the IPO process and execution of their business combination plans.

The suit, filed Dec. 11 in New York Southern District Court by Bleichmar Fonti & Auld, accuses the defendants of concealing the bank's 'pervasive' deficiencies in regards to its compliance with the Bank Secrecy Act and the quality of its anti-money laundering controls.
