Psychiatric drug developer Zynerba Pharmaceuticals and members of its board of directors were hit with a shareholder lawsuit on Sept. 8 in Eastern Pennsylvania District Court in connection with the company's proposed acquisition by Harmony Biosciences Holdings. The suit, filed by Brodsky & Smith on behalf of Scott Wilson, claims that the company's proxy statement in support of the proposed transaction omits or misrepresents material information including conflicts of interest for Zynerba's management. Counsel have not yet appeared for the defendants. The case is 2:23-cv-03502, Wilson v. Zynerba Pharmaceuticals, Inc.
