Sale • Shareholders’ Agreements • Collateral Estoppel

Mumma v. CRH, Inc. PICS Case No. 16-0212 (Pa. Super. Feb. 5, 2016) (memorandum) Bowes, J. (7 pages).

Trial court properly held that collateral estoppel barred appellant’s suit challenging a 1993 sale of a family corporation, because the 1961 shareholders’ agreement that he alleged was concealed from him and that allegedly gave him the right to purchase the stock of the corporation had been found terminated by a later agreement in another action brought by appellant. Affirmed.
