Davis Polk guides Aetna in $37 billion purchase of Humana

Davis, Polk & Wardwell provided counsel to Hartford, Conn.-based health insurance company Aetna Inc. in its purchase of Louisville, Ky.-based Humana Inc. for $37 billion. Per terms of the deal, Humana shareholders will receive $125 in cash and 0.8375 shares of Aetna common stock for each share of Humana stock. The deal is subject to shareholder approval and requires a waiting period for anti-trust concerns.

Davis Polk used a primarily New York-based team which included partners David Caplan, H. Oliver Smith, Jeffrey P. Crandall, Edmond T. FitzGerald, Lawrence Portnoy, Jason Kyrwood and Richard Sandler. Menlo Park-based partner Rachel Kleinberg provided tax advice.
