MoFo and Brownstein Hyatt aid DaVita and Renal Ventures in $415 million deal

Morrison & Foerster guided Denver-based DaVita HealthCare Partners Inc. in its agreement with RV Management Corp. and Renal Ventures Partners LLC to acquire Renal Ventures Ltd. LLC for $415 million. Per terms of the deal, DaVita will acquire a 100 percent interest in all of Renal Ventures' dialysis centers. The Lakewood, Colo.-based company operates 36 dialysis clinics across six states and it owns two divisions that also operate infusion and vascular centers in three states. DaVita, by comparison, operates more than 2,200 clinics in 46 states.

MoFo served as lead counsel to DaVita with a team led by New York-based partner Spencer Klein and associates Jessie Redden and Qing (Jenny) Wang. Palo Alto-based partner Christine Lyon and San Francisco-based partner Tessa Schwartz and associates Anna Ferrari, Susanne Petersen and Michael Wawszczak also worked on the deal, along with of counsel Yana Johnson. New York partners Domnick Bozzetti and David Strong—who also works in Denver—and attorney James Pincow provided assistance, with the help of Denver-based associate Joseph Tucci.
