MoFo and Venable work on realty merger worth $140 million

Venable represented Philadelphia-based Independence Realty Trust Inc. in its merger agreement with Trade Street Residential Inc. Per terms of the deal, Independence Realty paid about $140 million, or $3.80 per share, for Trade Street. Trade Street shareholders also received 0.4108 shares of Independence Realty common stock for each Trade Street share they owned.

Morrison & Foerster advised Trade Street, a real estate investment trust, with a team led by Washington, D.C.-based partners David Slotkin, Justin Salon and Lauren Bellerjeau and McLean, Va.-based partner Jeremy Schropp. Los Angeles-based partner Marc Young and of counsel Susannah Cupp also worked on the deal, along with New York-based partners Michelle Jewett and Domnick Bozzetti and associate Shiukay Hung. Denver-based partner David Strong, who also works in New York, provided assistance with the help of Washington, D.C.-based associates Stephanie Wingader and John Hensley.
