SAN FRANCISCO — A bevy of firms came together to help seal the $4.6 billion purchase of San Jose's Atmel Corp. by London-based Dialog Semiconductor.

Davis, Polk & Wardwell served as primary deal counsel for Dialog in the United States, working alongside London's Reynolds Porter Chamberlain. Jones Day advised Atmel on its sale, and Shearman & Sterling represented Atmel's financial advisor, Qatalyst Partners. Skadden, Arps, Slate, Meagher & Flom represented Morgan Stanley, which helped finance the deal.

The transaction, which follows Avago's $37 billion purchase of Broadcom in May and Intel Corp.'s $16.7 billion acquisition of Altera Corp., is another example of consolidation among chipmakers. It's also an arrangement that brings Dialog shares to the American market for the first time, said Menlo Park-based Davis Polk partner Stephen Salmon, who worked on the deal.
