Skadden helps PMC-Sierra in $2 billion sale to Skyworks Solutions

Skadden, Arps, Slate, Meagher & Flom provided counsel to fabless semiconductor company PMC-Sierra Inc. in its $2 billion acquisition by semiconductor manufacturer Skyworks Solutions Inc. Shareholders of PMC Sierra, which is based in Sunnyvale, will receive $10.50 per share. The deal is expected to close in the first half of 2016.

The Skadden team included Palo Alto-based partners Kenton King, Amr Razzak and Joseph Yaffe, associates D. Barnaby Gibson, Sonia Nijjar, Shannon Kung, Christopher Yap and Naoko Watanabe and counsel Kristin Davis. Los Angeles-based partners K. Kristine Dunn and Karen Corman also worked on the deal, with the help of New York-based partner Jose Esteves. Washington, D.C.-based partner Eric Sensenbrenner provided assistance.
