The Fourth Appellate District affirmed in part and reversed in part a judgment and remanded. The court held that stockholders in a pharmacy corporation who attempted to sell their shares to a third party in violation of the corporate bylaws’ provision of a right of first refusal in the other stockholder were in breach of a fiduciary duty.

Tien Le and his wife Dieu-Hoa Le owned half the corporate shares of Newland Pharmacy. Lieu Pham owned the other half.
