The Second Appellate District reversed orders and remanded with directions. The court held that an estate could amend its fraud action against a corporation to which the assets of decedent’s corporation were sold after his death to allege a conspiracy claim against counsel for the decedent’s corporation.

Richard Corrales organized and incorporated Motion Graphix, Inc., to license and sell photographic and imaging technologies that he had developed or improved. Corrales held a majority of the shares. Raleigh Souther held the balance. Corrales assigned his rights in two pending patents to Motion Graphix. Subsequently, Katten Muchin Rosenman LLP began representing Motion Graphix. Following a dispute between Corrales and Souther, Corrales agreed to sell eighty percent of his shares to Motion Graphix and to resign as director and officer.
