The First Appellate District affirmed a judgment. The court held that a trial court did not err in denying leave to amend to state a claim for quantum meruit where an attorney entered into successful business transactions with his clients without providing the written disclosures required by the California Rules of Professional Conduct.
R. Thomas Fair was an experienced business attorney. Fair formed an attorney-client relationship with Karl E. Bakhtiari when Bakhtiari sought legal advice regarding potential investments that he had in mind. A short time later, Fair and Bakhtiari went into business together, forming Stonesfair Corporation and other companies for the purpose of real estate investment. Fair represented each business from its inception and performed similar services for each of the Stonesfair entities, including rendering of legal opinions, analyzing markets, soliciting investors, and negotiating deals with owners and lenders.
