The Sixth Appellate District affirmed a judgment. The court held that substantial evidence supported the trial court’s determination that partners had not breached a fiduciary duty by failing to disclose financial information regarding a proposed tenant to sophisticated partners who did their own due diligence investigation.

Mission West Properties, L.P. (MWLP), Mission West Properties, Inc. (MWI), Republic Properties Corporation and principals of Republic Properties were partners in the Hellyer Avenue Limited Partnership (HALP). MWLP owned a 50% interest, Republic Properties and its officers owned 5.85 percent, and Mentmore Partners, LLC owned the remaining 44.15%.
