SAN FRANCISCO — Attorneys from Davis Polk & Wardwell in Menlo Park are helping struggling web security and monitoring equipment maker Blue Coat Systems Inc. go private in a $1.3 billion acquisition.

An investor group led by San Francisco private equity firm Thoma Bravo has offered Blue Coat shareholders $25.81 a share in cash. That’s a premium of about 48 percent over the company’s Dec. 8 closing price.
