The court of appeals affirmed in part and reversed in part a district court’s dismissal for failure to state a claim and remanded the action for further proceedings. The court held that an investment firm sufficiently pled federal and state securities fraud claims, as well as state nonfraud tort claims, by alleging material false statements by an attorney who represented an alleged seller of pre-IPO Facebook shares.
