SEC Dings Hewlett-Packard for Concealing Board Spat

The Securities and Exchange Commission chastised Hewlett-Packard Wednesday for failing to tell investors why board member Thomas Perkins abruptly resigned in May 2006. The SEC criticized board members for deciding -- based on advice from then-general counsel Ann Baskins and outside counsel Larry Sonsini -- that they didn't need to say why Perkins quit. The resignation set off a chain of disclosures about so-called pretexting that toppled several HP officials, including Baskins and Chairwoman Patricia Dunn.
