Magic circle firms lead on £1bn deal as private equity pickup continues

Freshfields Bruckhaus Deringer and Allen & Overy (A&O) have taken lead roles on CVC Capital Partners' €1.2bn (£999m) buyout of food and drink vending machine operator Autobar from Charterhouse. Freshfields corporate partners Chris Bown and Piers Prichard Jones led a team advising longstanding private equity client CVC on the acquisition, which is subject to regulatory clearance and is set to close in September.

Linklaters heads up trio of firms on $3.2bn RBS private equity sell-off

Linklaters, Kirkland & Ellis and Weil Gotshal & Manges have taken lead roles on the $3.2bn (£2bn) acquisition of the Royal Bank of Scotland's payment-processing unit by Bain Capital and Advent International, reports The Am Law Daily. Bain and Advent have both targeted a purchase of the RBS unit, called WorldPay, for several years, according to Advent's managing director James Brocklebank.

Linklaters, CC and US duo line up on HgCapital's £470m Bain buyout

A quartet of leading US and UK firms have scored roles on HgCapital's £470m acquisition of Italian software company TeamSystem from US private equity firm Bain Capital. HgCapital, which saw off competition from rival buyout firm Cinven Group to seal the deal, instructed Linklaters, which fielded a team led by London-based private equity partner Richard Youle and Milan-based banking partner Davide Mencacci. Clifford Chance (CC) advised the underwriting banks, which included Unicredit, Banca IMI and Morgan Stanley.

Dealmaker of the Week: Avril Martindale, Freshfields Bruckhaus Deringer

In 1999, Avril Martindale, an intellectual property (IP) partner at Freshfields Bruckhaus Deringer, was tapped by the Ford Motor Company to negotiate the IP aspects of its $6.45bn (£4m) acquisition of Volvo Cars. A decade later, Martindale's IP advice was sought after once more in a deal with Ford, but this time it was China's privately-held Zhejiang Geely Holding Group that was seeking her expertise. Could Freshfields help the Chinese carmaker acquire Volvo, the Swedish auto company Ford was looking to sell? It was an audacious plan: a $625m (£392m) per year grossing Chinese company with no international experience going after a $15bn (£9.4bn) per year grossing Swedish company owned by the oldest car maker in America.

Four firms check in for Permira's buyout of online travel company

Linklaters, Allen & Overy (A&O), Ashurst and Garrigues have all advised on the €250m (£208m) buyout of Spanish online travel agency eDreams by UK private equity firm Permira. Permira has bought the travel agency from US private equity firm TA Associates which obtained the company in 2006 for €153m (£127m). Linklaters advised Permira with a team led by private equity partner Alejandro Ortiz alongside tax partner Javier Garcia-Pita, finance partner Ben Crosse and antitrust partner Jaime Perez-Bustamante.

Hogan Lovells and Freshfields Bruckhaus Deringer have taken the top roles on Ford Motor Company's sale of Volvo to a Chinese car manufacturer, reports The Blog of Legal Times. Zhejiang Geely Holding Group has agreed to pay $1.5bn (£950m) for Volvo in a deal that marks the first time a private Chinese company has taken over a foreign automaker. A team of Freshfields lawyers led by partner Chris Bown in London advised Geely on the deal.

Linklaters and SJ Berwin have taken lead roles on the £340m development and pre-let of the new UBS headquarters on the Broadgate Estate in London. Bluebutton Properties, a joint venture company owned by British Land and Blackstone, has secured a 700,000 sq ft pre-let with UBS at the estate. The new building, when completed, will be the largest office block in the City.
