Orrick rules out SJ Berwin merger in email to firm's partnership

Orrick Herrington & Sutcliffe has decided against a merger with SJ Berwin, according to an email sent by chairman Ralph Baxter to the firm's partnership on Monday night (3 May), writes the Am Law Daily. The email does not give offer specific reasons why Orrick is abandoning a potential deal but it does confirm that the two firms had considered a tie-up.

Freshfields checks in for antitrust role on $3bn United-Continental tie-up

Freshfields Bruckhaus Deringer has taken a role alongside a trio of US firms on the $3bn (£2bn) tie-up of United Airlines and Continental Airlines, reports The Am Law Daily. The deal, which has created the world's largest carrier by passenger traffic, will see the newly-merged company retain the name United. Both carriers had previously considered a merger two years ago, but that deal collapsed over concerns about oil prices and $537m (£353m) in first-quarter losses by United that year.

Simpson Thacher & Bartlett is advising the US Treasury on its plan to unload 7.7 billion government-owned Citigroup shares in a series of sales rather than all at once, reports The Am Law Daily. The US Government has retained Morgan Stanley to prepare the sale and place the initial batch of 1.5 billion Citi shares on the market, with Davis Polk & Wardwell and Cleary Gottlieb Steen & Hamilton sharing the job of advising Morgan Stanley.
