Freshfields, Simmons head up €2bn sale of German publishing company

Freshfields Bruckhaus Deringer and Simmons & Simmons have both won lead roles on the sale of Springer Science+Business Media, a deal understood to be worth up to €2.2bn (£2bn). Springer was advised by Freshfields on the sale, announced today (11 December), which sees Swedish private equity fund EQT and the Singapore Government's GIC fund acquire the German publishing company. City-based private equity partner David Sonter led the magic circle firm's team.

Dewey leads on $1.2bn drinks company buyout

Dewey & LeBoeuf has fielded a large cross-border team advising drinks company CEDC on its $1.2bn (£736m) high yield financing and equity acquisition of Russian Alcohol Group (RAG). After entering into a joint venture agreement with vodka producer RAG in spring 2008, CEDC has now agreed to buy out RAG via a $310m (£191m) US stock offering and a $950m (£583m) dual offering of euro and dollar senior secured high yield notes.

Norton Rose is to phase out its London managing partner position as the firm finalises its combined management team ahead of its January merger with Deacons. The top 10 City firm has opted to ditch its separate London head position when the merger goes live on 1 January, with current managing partner Deirdre Walker to take up a new role as head of a combined practice group covering dispute resolution, employment, tax, incentives, anti-trust, competition and regulation.

The judges agreed that Freshfields' work advising Nomura on the acquisition of Lehman Brother's European, Middle East and Asian arms was the standout deal of 2009. If ever a deal was designed to test the mettle of an international law firm, this was surely it. In all, 17 of Freshfields' offices worked on the deal while the firm also co-ordinated the instruction of external counsel in another 13 jurisdictions. This all took place at the height of the credit crunch-induced financial market turmoil. The need to act quickly and decisively was an essential feature of this deal.
