Paul Weiss Rifkind Wharton & Garrison has advised Bank of America to waive privilege and reveal legal advice that the bank received last year in its merger with Merrill Lynch, reports The American Lawyer. On Monday (12 October), Paul Weiss lawyers, along with counterparts from Cleary Gottlieb Steen & Hamilton, advised the bank's board to make a surprising change in strategy and vote to waive privilege in the Securities and Exchange Commission's (SEC's) much-publicised disclosure case against Bank of America, which is now set for a trial next year, after Manhattan federal district court Judge Jed Rakoff rejected a $33m (£21m) settlement between Bank of America and the US Government.

There is a popular aphorism that a dyers hand is always stained by the elements he works with. Likewise, it seems that a solicitor's reputation for probity can easily be tainted by basic flaws in the handling of electronic disclosure. The recurring theme in most cases where solicitors have given inadequate e-disclosure is that the defaulting parties prepared poorly and made nominal efforts to agree e-disclosure parameters with the opposition. This unilateral approach contravenes the Civil Procedure Rules (CPR) and has been rejected by the courts. The recent spate of rulings on e-disclosure failures has been covered widely by various interest groups, each promoting parochial solutions. What is missing is a recursive framework for early discussions as required by the CPR.

Hertz general counsel sues analyst who said company could go bankrupt

Hertz general counsel Jeffrey Zimmerman has sued a research firm that put the car rental company on a list of businesses "likely to go bankrupt or suffer severe financial distress." Zimmerman and Hertz have sued Audit Integrity for defamation and trade libel in the Superior Court of New Jersey, where Hertz is based. The suit also seeks undetermined financial damages, a retraction and an apology, and lawyer fees and costs.
